Terms and conditions
Terms for spreadsheet reviews and follow-up work provided by Surman s.r.o.: scope, prices, delivery, confidentiality and liability.
Provider and customers
The provider is Surman s.r.o., company ID 29267421, VAT ID CZ29267421, Rooseveltova 1011/39, 669 02 Znojmo, registered with the Regional Court in Brno, section C, file 69484. We serve businesses and organisations acting in a business capacity. We do not accept consumer orders.
Scope and timing
The fixed price covers one xlsx or xlsm file with up to 15 sheets, 10 MB and 1,000 lines of VBA. Larger assignments are quoted before ordering.
The deliverable is a PDF report with a sheet inventory, dependency map, fragility index, findings and remediation plan. Individually quoted assignments are ordered only after the price is approved.
We deliver the report within 5 business days of receiving the file, sending our confidentiality statement and obtaining answers from the introductory call. A 30-minute review call is included and arranged within 14 days of delivery.
Assessment limitations
The review does not modify or recalculate the workbook. The report documents findings and methodological limitations; it does not confirm business assumptions or guarantee detection of every error. Repairs and training are separate services.
The recommendation may be to rebuild the calculation. The report is not a statutory audit or regulated assurance engagement.
Use of deliverables
You may use, modify and share the report, documentation and other deliverables without restriction. We retain the right to use our own method and tools for other clients.
Price and payment
The review costs CZK 19,800 excl. VAT (CZK 23,958 incl. VAT). We invoice after delivery, with payment due in 14 days. No deposit is required.
Follow-up work is billed at CZK 2,500/hour excl. VAT, with a minimum engagement of CZK 25,000 excl. VAT. If ordered within 60 days of report delivery, the full diagnostic fee is credited.
Liability
Liability for loss is limited to the amount paid for the assignment. Lost profits and consequential loss are excluded. These limitations do not apply where prohibited by law, including loss caused intentionally or through gross negligence.
The customer is responsible for the content and accuracy of the supplied data. The report is based on the file as supplied.
Confidentiality and personal data
We send a signed unilateral confidentiality statement with our first reply. You do not need to sign it. We can review your company’s own proposed agreement in advance.
We do not publish client files, including anonymised versions. Personal data handling is described in the separate privacy notice and, where applicable, a data processing agreement.
Governing law
The contract is governed by Czech law. Disputes are decided by Czech courts.
